Definitions & Effect Of Conditions.
The headings are for convenience only and shall have no effect on the interpretation thereof.

The company shall mean Inteu Limited (Company Number 05321659)

The Audio, Video, Virtual Reality, Goods & Services Terms & Conditions, the Website Hosting, Products & Services Terms & Conditions and the Limited Company Sales Terms & Conditions shall apply to and be incorporated into all agreements between the company and any business, firm or person ("the customer") under which the company supplies goods or services at the request of the customer.

These conditions shall take precedence over any conditions of the customer and shall not be varied without the written consent of a Director of the company.

Confidentiality
Any information the customer provides to the company is stored in a manner that ensures no unauthorized access.

Other than as necessary to fulfill your order the company will not disclose your personal information, any secret or confidential information to any third party without your consent unless we are required to do so by law.

Subcontracting
The company reserves the right to sub-contract any part of any work or supply of any goods or services to the customer.

Exclusion Of Liability
The company will not be responsible for any damages that the customer may suffer. The company makes no warranties of any kind, expressed or implied for goods or services we provide. The company disclaims any warranty or merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non deliveries, wrong deliveries, and any and all service interruptions caused by the company and its employees.In any event, the companies liability shall be limited to direct loss and shall not include indirect or consequential loss.

 
Copyright, Patents, Trade Marks And Intellectual Property Rights
The customer acknowledges that rights in respect of trademarks, trade names, copyrights, patents and other intellectual property rights connected with the goods or services supplied by the company do not pass to the customer.

The customer agrees to indemnify the company against all liabilities, costs and expenses which the company may incur as a result of work done in accordance with the customer`s specifications which involve infringement of any patent or other proprietary rights.

Jurisdiction
All aspects of contracts between the customer and the company will be construed under the laws of the United Kingdom, except for that body of law dealing with conflicts of law. If any provision of this Licence shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this Licence will remain in full force and effect.

Audio, Video, Virtual Reality Goods & Services Terms & Conditions
1. Terms Of Service
(a1) The company provides goods and services for audio, video and virtual reality projects. It is agreed that all projects will be watermarked throughout production and the watermark will be removed once the customer makes full and final payment.
(a2) The company do not allow any of its services or products to be used illegally in violation of any Government or Local regulation or Adult Material including all pornography, erotic images, or otherwise lewd or obscene content.
(a3) The company reserves the right to suspend or cancel a customer`s access to any or all goods or services provided by the company when the company decides that the goods or services have been inappropriately used or otherwise.
 
2. Payment
(b1) In order to streamline our accounting procedures and keep costs down the company has 2 payment options.
(b2) Staged Payments : 
50% of the total quotation price payable prior to the start of any production. 
25% of the total quotation price payable on delivery of a production evaluation copy.
25% of the total quotation price plus any agreed extras prior to delivery of the final production master.
(b3) Payment In Advance : For those using our discount vouchers we require payment in full in advance for any goods or services supplied to the customer.
(b4) In situations where payment has not been received by the due date the company will at its discretion suspend its goods or services until the  outstanding amount is paid in full.
(b5) The company reserves the right to suspend any or all other goods or services supplied to the customer by the company until the outstanding debt is cleared.
(b6) No invoices will be sent by regular mail. All invoices will be sent directly to customers via email.

3. Cancellation And Refunds
(c1) The company reserves the right to cancel its supply of goods or services at any time. In this event customers will be entitled to a full refund. If a customer contravenes the company’s terms and conditions a refund will not be issued.
(c2) Customers may cancel goods or service at any time by requesting this in writing sent by recorded delivery to The Information Centre, 483 Green Lanes, London, N13 4BS.
(c3) All amounts paid via stage payments or on a payment in advance basis are non-refundable. Customers are not entitled to receive a refund unless the goods or service are cancelled by the company. If a customer contravenes the company’s terms of supply of goods or services a refund will not be issued in the event of a cancellation.
4. Revisions
(d1) The company reserves the right to change the prices of goods or services at any time

5. Indeminification
(e1) The Customer agrees that it shall defend, indemnify, save and hold the company harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney`s fees asserted against the company, its agents, its customers, officers and employees, that may arise or result from any goods or services supplied to the customer, its agents, employees or assigns.
(e2) The Customer agrees to defend, indemnify and hold harmless the company against liabilities arising out of;  (a) any material supplied by the customer infringing or allegedly infringing on the proprietary rights of a third party; (b) copyright infringement and (c) any defective products supplied by the customer to the company.

Website Hosting, Products & Services Terms & Conditions
1. Terms Of Service
(f1) The company provides a service for website hosting products and services. The company reserves the right to suspend or cancel a customer`s access to any or all products or services provided by the company when the company decides that the account has been inappropriately used or otherwise.
(f2) The company do not allow any of the following content to be stored on its servers: Illegal Material - This includes copyrighted works, commercial audio, video, or music files, and any material in violation of any Government  or Local regulation. Adult Material - Includes all pornography, erotic images, or otherwise lewd or obscene content.
(f3) The company reserves the right to refuse products or services and / or access to its products or services to anyone.
(f4) The designation of "adult material" is left entirely to the discretion of the company. Warez - Includes pirated software, ROMS, emulators, phreaking, hacking, password cracking. IP spoofing, etc., and encrypting of any of the above. Also includes any sites which provide "links to" or "how to" information about such material. 
 
2. High Resource Use Policy
(g1) Resources are defined as bandwidth and/or processor utilization.
(g2) The company may implement the following policy at its sole discretion: When a website is found to be monopolising the resources available the company reserves the right to suspend that site immediately. This policy is only implemented in extreme circumstances and is intended to prevent server misuse. Customers may be offered an option whereby the company continues hosting the website for an additional fee.

 
3. Payment Policy
(h1) In order to streamline our accounting procedures and keep costs down all accounts are set up on a prepay basis and payment is in UK sterling.
(h2) The company reserves the right to change the prices of packages, products or services at any time
(h3) Customers will be automatically charged again at the end of their prepay period.
(h4) In situations where payment has not been received by the due date the company will at its discretion suspend the facility until the outstanding charge is paid in full. 
(h5) The company reserves the right to suspend all other services supplied to the customer by the company until the outstanding debt is cleared.
(h6) The customer is responsible for all money owed on the account from the time it was established to 1 month from the time that the company receives a customers recorded delivery cancellation request.
(h7) No invoices will be sent by regular mail. All invoices will be sent directly to customers via email.
(h8) In the event that the company or the customer cancels there account and the customer requires a transfer of a domain name the customer agrees to pay the company an administration charge of £29.

 
4. Cancellation And Refunds
(i1) The company reserves the right to cancel the service at any time. In this event customers will be entitled to a pro rata refund based upon the remaining period of paid hosting. If a customer contravenes the company’s terms of service a refund will not be issued in the event of a cancellation.
(i2) Customers may cancel their account at any time by requesting this in writing giving 1 months notice and sending this request by recorded delivery to The Information Centre, 483 Green Lanes, London, N13 4BS.
(i3) Customers are not entitled to receive a refund unless the service is cancelled by the company. If a customer contravenes the company’s terms of  service a refund will not be issued in the event of a cancellation.
5. Domain Name Renewals
(j1) To cancel a domain name renewal you must request this in writing 2 months prior to the domain name renewal date and send this by recorded delivery to The Information Centre, 483 Green Lanes, London, N13 4BS
. In the event that you do not cancel the domain name this will be renewed by us on the due date and invoiced to you at the amount stated in our current price list avilable on request.

6. Hosting Packages & Software
(k1) All websites hosting packages and software are subject to copyright control and remain the property of the company at all times.The customer may not at any time use the hosting package or software for any other purposes whatsoever without the express documented permission of the company

7. Unsolicited Email (Spam)
(l1) The company takes a zero-tolerance approach to spam originating from  the company’s servers or for spam advertising of domains hosted on the company’s servers. Unsolicited commercial advertisements (spam) are not allowed in e-mails, and will likely result in account cancellation.
(l2) The following activities are not allowed: Unsolicited bulk or commercial messages ("spam"). This includes, but is not limited to, bulk mailing of commercial advertising, informational announcements, charity requests, petitions for signatures, and political or religious tracts. Such messages may only be sent to those who have explicitly requested it from your domain. Forging, altering or removing electronic mail headers is prohibited. Any domain sending stealth spam will be terminated without warning and without refund. Sending numerous copies of the same or substantially similar message with the intent to disrupt a server or account ("mail bombing"). Inappropriate posting may result in account cancellation. See the  newsgroup or mailing list`s charter for whether advertising is allowed or not. "Spamming," or sending a message to many different off-topic newsgroups, is particularly unethical and will be treated as such. Mail may not be used to harass or intimidate others. Harassment, whether through language, frequency of messages, or size of messages, is prohibited. Sending a single unwelcome message may be considered harassment. If a recipient asks to stop receiving e-mail, you must not send that person any further messages. 
(l3) The security of customers Mobile Phones, Tablets, Desktop PC’s and Servers are the responsibility of the customer. The customer will insure that these are regularly checked for viruses and security. In the event that unsolicited emails are sent via the customers Mobile Phones, Tablets & Desktop PC’s and Servers with or without the knowledge of the customer then the provisions of the above Policy shall apply as if the spam were sent through the company’s servers by the customer.
(l4) If you use the services of another provider to promote a web site hosted by or through the company (spamvertising), then the provisions of this policy shall apply as if the spam were sent through the company’s servers by the customer.
 
8. Indeminification
(m1) The Customer agrees that it shall defend, indemnify, save and hold the company harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney`s fees asserted against the company, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by the customer, its agents, employees or assigns.
(m2) The Customer agrees to defend, indemnify and hold harmless the company against liabilities arising out of; (a) any injury to person or property caused by any products sold or otherwise distributed in connection with the company’s server; (b) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (c) copyright infringement and (d) any defective products sold to customer from the company’s server.

(n1) The company reserves the right to change the prices of goods or services at any time

Limited Company Sales Terms & Conditions

(p1) In order to streamline our accounting procedures and keep costs down the company requires payment in full in advance prior to the transfer of ownership to the customer.
(p2) In situations where payment has not been received by the due date the company will at its discretion suspend the sale until the outstanding amount  is paid in full.
(p3) No invoices will be sent by regular mail. All invoices will be sent directly to customers via email.
 
3. Cancellation And Refunds
(q1) The company reserves the right to cancel its supply of goods or services at any time. In this event customers will be entitled to a full refund.If a customer contravenes the company’s terms and conditions a refund will not be issued.
